Terms of Service

Agreement between you and Kadensy

These Terms of Service (“Terms”) govern access to and use of the Kadensy tutoring marketplace (the “Service”). By creating an account or using any part of the Service, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy.

1. Account creation

  • You must be at least 15 years old to use the Service, and at least 18 years old to register as a tutor and teach. Cross-border jurisdictions imposing a higher age of digital consent prevail where applicable.
  • You agree to provide accurate, current and complete information (name, date of birth, email) and to keep it up to date.
  • You may hold only one active account per natural person. Tutor and student capacities are toggled on the single account.
  • You are responsible for safeguarding your credentials, two-factor secret and passkeys. Notify us promptly of any suspected unauthorised access.

2. Acceptable use

You agree not to use the Service to:

  • Harass, intimidate, threaten or otherwise harm any other user, in particular minors.
  • Infringe any third-party intellectual property, publicity or privacy rights.
  • Solicit off-platform contact for the purpose of avoiding Kadensy subscription or service fees, including but not limited to sharing personal email, messaging-app handles or payment instructions with the intent of transacting outside the Service.
  • Upload, post or transmit content that is unlawful, fraudulent, defamatory, obscene or sexually explicit.
  • Use the Service to advertise unrelated products or to send unsolicited communications.
  • Attempt to interfere with, probe or disrupt the Service, including by bypassing rate limits, scraping at scale, or reverse-engineering non-public APIs.

We reserve the right to suspend or terminate any account that violates these rules, with or without prior notice depending on severity.

3. Lessons, bookings and payments

  • Students save a payment card on file via Stripe. Kadensy does not use a prepaid wallet or stored credits: each booked lesson is charged directly to the saved card at the time of booking.
  • Each booking charge is non-refundable except where required by mandatory consumer law or under the published cancellation and refund policy.
  • Booking a lesson charges the student’s saved card for the lesson price plus a 10% service fee. The full lesson price is credited to the tutor.
  • Tutors are paid their lesson earnings directly by Kadensy, out to the bank details they provide. Kadensy does not use Stripe Connect for tutor payouts.
  • Tutors pay a flat monthly subscription fee to remain listed and bookable on the platform. Kadensy does not take a commission on lesson revenue. Tips paid to tutors are transferred in full.
  • VAT and other applicable taxes are calculated on the buyer’s country of residence and remitted as required.
  • Cancellation, no-show and refund rules are published in the Help Center and form part of these Terms by reference.

4. Tutor obligations

  • Provide accurate qualifications, biography and profile media.
  • Provide accurate bank details for payout and tax information where required.
  • Attend booked lessons on time, in a professional manner, and from a quiet environment.
  • Comply with our content moderation and Trust & Safety policies.

5. Intellectual property

Kadensy and its licensors retain all rights, title and interest in the Service, the software, the brand and the site content. You retain ownership of the content you upload (profile media, whiteboard work, messages); by submitting it you grant Kadensy a worldwide, non-exclusive, royalty-free licence to host, store, display and transmit that content solely to operate the Service.

6. Termination and anonymisation

You may close your account at any time from the account settings. On closure, directly identifying fields (name, email, avatar, bio, etc.) are anonymised. Financial records (payments, payouts, wallet transactions, tax data and the associated lessons) are retained for 10 years in line with accounting, tax and anti-money-laundering obligations.

Kadensy may suspend or terminate access immediately, with or without prior notice, where it has reasonable grounds to suspect fraud, abuse, breach of these Terms, or risk to other users.

7. Warranties and liability

The Service is provided “as is”. To the maximum extent permitted by applicable law, Kadensy disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Tutors are independent providers; Kadensy is not responsible for the pedagogical content, accuracy or outcomes of individual lessons.

Where liability cannot be excluded under mandatory consumer law, our aggregate liability arising from or in connection with the Service is limited to the total amount paid by the affected user to Kadensy during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for gross negligence, wilful misconduct, death or personal injury, or for any other liability that cannot be excluded by law.

8. Governing law and jurisdiction

These Terms are governed by the laws of France, without regard to its conflict-of-law principles, and without prejudice to the mandatory consumer protection rules of the country of residence of the user.

Subject to mandatory rules on consumer jurisdiction, any dispute arising from or in connection with the Service shall fall under the exclusive jurisdiction of the competent courts of Paris, France.

EU consumers may also use the European Commission’s Online Dispute Resolution platform available at ec.europa.eu/consumers/odr.

9. Changes to these Terms

Material changes will be announced in-app at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
